I think I solved it all :

vi /etc/modprobe.conf (opens vim editor on startup file)

added the following line to bottom:

alias eth1 ipg

saved and now it works

Thanks alot for everyone's help. Just one more question:

Does anyone know any 'better' way to do this (cleaner way) that works?

heres a full howto on the latest kernel:

- change dir to source dir (cd)
- edit ipg.h (like "vi ipg.h") and change UTS_RELEASE to "2.6.18" with quotes (if not done so you may get an error when using "make all" like "ipg.h:130 undeclared stuff" )
- "make all" (if you are unable to do an "apt-get update" and "apt-get install kernel-devel" first)
- "cp ipg.ko /lib/modules/`uname -r`/kernel/drivers/net/ipg.ko"
- "depmod -a"
- "insmod ipg.ko"

To have the card automatically assigned as second network adapter:

vi /etc/modprobe.conf (opens vim editor on startup file)

add the following line to bottom:
alias eth1 ipg

hope this helps guys.. quite an annoying driver. killed my remote admin after a kernel update because it had to be recompiled
